2. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information
  • Grant necessary access to accounts and platforms
  • Review and approve materials in a timely manner
  • Pay invoices according to agreed terms
  • Comply with all applicable laws and regulations
  • Not use our services for any unlawful purpose

3. Intellectual Property

Our Materials

All content, designs, methodologies, and materials created by Carefree Media remain our intellectual property until full payment is received. Upon payment, ownership of deliverables transfers to the client as specified in the service agreement.

Client Materials

You retain ownership of all materials you provide to us. By providing materials, you grant us a license to use them for the purpose of delivering our services.

4. Payment Terms

  • Payment terms will be specified in individual proposals or contracts
  • Late payments may incur interest at 2% per month
  • We reserve the right to suspend services for overdue accounts
  • All fees are exclusive of VAT unless stated otherwise

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, customer data, marketing plans, and financial information.

6. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the fees paid for the relevant services
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee specific results from marketing campaigns
  • We are not responsible for third-party platform changes or policies

7. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • All outstanding fees become immediately due
  • Client retains ownership of completed, paid deliverables
  • We will provide reasonable transition assistance
  • Confidentiality obligations continue

8. Disclaimers

Our services are provided "as is" without warranties of any kind. We do not guarantee:

  • Specific ranking positions in search engines
  • Particular ROI or conversion rates
  • Continuous, uninterrupted access to third-party platforms

9. Indemnification

You agree to indemnify and hold harmless Carefree Media from any claims arising from:

  • Materials you provide
  • Your products or services
  • Violation of these Terms
  • Infringement of third-party rights

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.
